1. About GeoCal AI

GeoCal AI is operated by GeoCal AI Ltd, a company registered in England and Wales (Company Number: 17260064), with a registered address at Old Sutch Farm, Meadow Lane, Lathom, L40 4BR.

GeoCal AI provides an AI-powered chatbot platform designed for UK estate agents and letting agencies. The service qualifies property enquiries, scores leads and sends instant notifications to agents.

2. Eligibility

Our service is available to UK-based businesses only. By signing up, you confirm that:

• You are acting on behalf of a registered business
• You are authorised to enter into this agreement on behalf of that business
• The information you provide is accurate and complete

3. The free trial

We offer a 30-day free trial of the GeoCal AI service. During the trial:

• The one-time setup fee of £250 is charged at the start of the trial period
• No monthly subscription fee is charged during the 30-day trial
• You have access to the full GeoCal AI feature set
• You may cancel before the trial ends by notifying us in writing at hello@geocal-ai.co.uk

The setup fee is non-refundable once configuration work has commenced.

4. Subscription and payment

Following the free trial, your subscription will automatically continue at £149 per month unless cancelled.

• Subscriptions are billed monthly in advance
• Payment is taken via Stripe using the payment method you provide
• We will notify you by email 7 days before your trial ends and before any price changes take effect
• All prices are exclusive of VAT where applicable
• Failed payments will result in service suspension after a 7-day grace period

5. Cancellation

You may cancel your subscription at any time by providing 30 days written notice to hello@geocal-ai.co.uk.

• Your chatbot will remain active until the end of the 30-day notice period
• No refunds are provided for partial months
• On cancellation, your chatbot will be deactivated and your data will be retained for 12 months before deletion in accordance with our Privacy Policy

We may cancel or suspend your account immediately if you breach these terms, fail to pay, or use our service in a way that causes harm to others.

6. Our obligations

We will:

• Configure and deploy your GeoCal AI chatbot within 3 working days of receiving your completed onboarding questionnaire
• Maintain the service with reasonable uptime — we target 99% availability but do not guarantee uninterrupted service
• Provide email support and respond to enquiries within 2 working days
• Notify you of any planned maintenance or significant changes to the service with reasonable notice
• Handle all personal data in accordance with our Privacy Policy and UK GDPR

7. Your obligations

You agree to:

• Provide accurate information in your onboarding questionnaire
• Use GeoCal AI only for lawful business purposes
• Ensure your website complies with applicable laws, including having a valid Privacy Policy that covers AI chatbot interactions
• Not use GeoCal AI to collect data for purposes beyond legitimate property enquiry qualification
• Inform your website visitors that they may be interacting with an AI assistant (GeoCal AI does this automatically in the opening message)
• Not attempt to reverse engineer, copy or resell any part of the GeoCal AI service
• Comply with all applicable UK laws including the Equality Act 2010

8. Acceptable use

You must not use GeoCal AI to:

• Collect data without appropriate legal basis or user consent
• Discriminate against protected groups in contravention of the Equality Act 2010
• Mislead users about the nature of the AI service
• Send spam or unsolicited communications using data collected through the chatbot
• Engage in any fraudulent, deceptive or unlawful activity

9. Data and privacy

By using GeoCal AI, you acknowledge that:

• You act as a data controller for personal data collected from your website visitors via the chatbot
• GeoCal AI acts as a data processor on your behalf for that end-user data
• You are responsible for having a lawful basis to collect and process that data
• You must have your own Privacy Policy on your website that covers AI chatbot data collection
• A Data Processing Agreement (DPA) is available on request — contact privacy@geocal-ai.co.uk

10. Intellectual property

GeoCal AI and all related technology, software, designs and content remain the intellectual property of GeoCal AI Ltd. You are granted a non-exclusive, non-transferable licence to use the service for the duration of your subscription.

You retain ownership of any content you provide during onboarding. By providing this content, you grant us a licence to use it solely for the purpose of configuring and operating your chatbot.

11. AI limitations and disclaimer

GeoCal AI uses large language model AI technology. You acknowledge that:

• AI responses may occasionally be inaccurate, incomplete or inappropriate
• GeoCal AI is not a substitute for professional legal, financial or property advice
• You are responsible for reviewing and monitoring chatbot responses for your agency
• We make no guarantee that the chatbot will generate a specific number of leads or conversions
• AI technology is evolving — the underlying models may change over time, which may affect response quality

12. Limitation of liability

To the maximum extent permitted by law:

• GeoCal AI is provided "as is" without warranty of any kind
• We are not liable for any indirect, consequential, incidental or special damages arising from your use of the service
• Our total liability to you in any 12-month period shall not exceed the total fees paid by you to us in that period
• We are not liable for any loss of leads, revenue or business opportunity arising from service downtime or chatbot errors

Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnity

You agree to indemnify and hold harmless GeoCal AI and its directors, employees and agents from any claims, losses or damages arising from your use of the service in breach of these terms or applicable law.

14. Changes to the service and terms

We may update these terms from time to time. We will notify you by email at least 30 days before any material changes take effect. Continued use of the service after that date constitutes acceptance of the updated terms.

We may also update, modify or discontinue features of the service with reasonable notice. We will endeavour to maintain the core functionality described at the time of your sign-up.

15. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Entire agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and GeoCal AI regarding your use of the service. They supersede any prior agreements or representations.
